1. Definitions

  • "Client" refers to any individual or business that engages with our digital marketing, website development, or paid advertising services.
  • "Services" refers to website development, digital marketing, lead generation, paid ads, AI-assisted customer support, content writing, and digital design.
  • "Website Handoff" refers to the final transfer of a developed website to the client, making them responsible for management.
  • "Managed Services" refers to ongoing website management, optimization, and digital marketing support.
  • "Agency Partner" refers to external freelancers or entities that we collaborate with under Non-Disclosure Agreements (NDAs).

2. Services Provided


We offer the following services:

  • Website Development – Custom web design, development, and AI-powered site features.
  • Paid Ads & Media Buying – Google Ads, Facebook Ads, and other PPC campaigns.
  • AI Customer Support – Automated chatbots for inquiries, scheduling, and form submissions.
  • Content Writing & Digital Design – Blog articles, marketing materials, and website copywriting.
  • SEO & Performance Optimization – Ongoing management and improvements based on analytics.
  • One-Time Website Handoff OR Monthly Management – Clients choose between full ownership or ongoing service contracts.

3. Payment Terms & Refund Policy

  • Payment terms vary based on the project scope and client needs.
  • Clients may opt for one-time payments, split payments, or subscription-based management fees.
  • Invoices must be paid within 14 days of issuance. A late fee of 5% will be applied after 21 days. Services will be paused if payment is not received within 30 days.
  • No refunds are offered unless approved by executive management. Refund requests must be submitted in writing within 7 days of purchase for consideration.
  • Clients must maintain payments for ongoing services; failure to do so may result in service suspension.
  • In the event of payment issues, we will attempt to negotiate an alternative arrangement before discontinuing services.

4. Ownership & Intellectual Property

  • Clients retain 100% ownership of their website and digital assets unless stated otherwise in the contract.
  • Website hosting, domain renewals, and platform fees become the client's responsibility after handoff.
  • Unauthorized resale, redistribution, or modification of our intellectual property is prohibited.

5. Service Termination & Data Retention

  • If a client fails to communicate for 30 days, we reserve the right to terminate the project without a refund and delete all data.
  • If a client stops paying for monthly management services, we will attempt to reach an agreement before discontinuing services.
  • If an agreement cannot be reached, services will be suspended, and the client will be given the option of a final Website Handoff for a one-time transfer fee.
  • After 30 days of non-payment, all associated data will be permanently deleted from our servers.

6. Client Responsibilities

Clients are responsible for:

  • Providing necessary content, branding, and business details for project completion.
  • Responding to communications in a timely manner.
  • Managing login credentials, platform subscriptions, and hosting after website handoff.
  • Closing sales and converting leads generated from paid ad campaigns.
  • Ensuring that requested changes or updates fall within the agreed project scope. Additional work outside the original contract may be subject to additional fees.

7. No Performance Guarantees

  • While we strive for high-performing websites and ad campaigns, we do not guarantee specific conversion rates or lead closings.
  • We provide analytics and optimization recommendations, but external factors (e.g., client sales processes) affect results.
  • Paid advertising and SEO require ongoing adjustments based on platform algorithm updates.

8. Dispute Resolution & Governing Law

  • Disputes will be handled under Texas law, where the company is registered.
  • We strive to resolve any client issues amicably and encourage open communication before legal action.
  • All disputes must first go through mediation before proceeding to arbitration or legal action.
  • We also comply with Illinois consumer protection laws when working with local clients.

9. Right to Suspend or Terminate Services

We reserve the right to suspend or terminate services in cases of:

  • Breach of contract or failure to comply with payment terms.
  • Verbal abuse, hate speech, or discrimination directed at our employees or partners.
  • Repeated failure to provide necessary materials for project completion.
  • Engaging in fraudulent or deceptive activities related to our services.

10. Changes to These Terms

We may update these Terms at any time. Continued use of our services indicates acceptance of the updated Terms.
Clients will be notified of significant changes via email or website notice.
